Public Offer

This is a contract. It takes effect not when you read it, but when you book a shoot — when you send a request, confirm the arrangement in writing, or pay a deposit. So it is worth five minutes now: this sets out how much booking a date costs, in how many days you receive the photographs, what happens if a shoot has to be cancelled, and who may publish the images.

1. General

This document is a formal offer by Tetiana Kuzmina (a private individual) — the «Photographer» — to enter into an agreement for photography services on the terms set out below. It is offered on the same terms to everyone who applies.

The person who accepts this offer is the «Client». Together — the «Parties».

2. What accepting this offer means

The offer is considered accepted, and the agreement concluded, from the moment any of the following happens:

  • the Client sends a request through the form on this website and confirms in writing, in the correspondence, the agreed date, scope and price of the shoot;
  • the Client pays a deposit or the full amount;
  • the Client actually begins the shoot at the agreed date and time.

Accepting the offer means the Client has read this document, understood it and agrees to all its terms. Partial acceptance is not allowed.

3. Subject of the agreement

The Photographer provides photography services and subsequent image processing, and the Client accepts and pays for them. The specific parameters of each shoot — type, date, place, duration, number of processed photographs, price — are agreed by the Parties in writing (messenger, email) before work begins. The agreed correspondence is an integral part of this agreement.

4. Price and payment

The price is set individually for each shoot and fixed in the correspondence. Prices shown on the site are indicative unless stated otherwise.

To book a date, the Client pays a deposit of 30% of the agreed price. The date is reserved only once the deposit is received: until then the Photographer may accept another booking for that time. The balance is paid no later than the day the processed photographs are delivered, unless the Parties agree otherwise.

Costs not included in the shoot price (location or studio rental, props, make-up or styling, travel outside the city) are paid separately by the Client and agreed in advance.

5. Timing and delivery

The Photographer delivers the processed photographs within 14 working days of the shoot, unless the Parties have agreed a different period for a particular project. The period starts running after the shoot and after payment is received in line with section 4.

Photographs are delivered digitally — by a link to file storage or another agreed method. Processing includes selecting frames, colour correction and basic retouching. Heavy retouching, changing the composition, replacing the background or adding objects is a separate service, agreed and paid for additionally.

The Photographer keeps the source files for at least 30 days after delivery. After that, at their own discretion; you should not count on a later re-download. Unprocessed (raw) frames are not handed over, as they are not the result of the service.

6. Acceptance of the work

The Client has 5 calendar days from delivery to send comments. If no comments arrive within that time, the services are considered properly provided and accepted. Comments must relate to the agreed brief; a change of creative vision after the shoot is not a defect in the work.

7. Cancellation and rescheduling

  • The Client may cancel or reschedule the shoot no later than 3 days before the agreed date — in that case the deposit is moved to the new date or returned at the Client's request.
  • If cancelled later than that, the deposit is not refunded: the time was reserved for the Client, and the Photographer turned down other bookings for that date.
  • If the Photographer cancels the shoot, they return the full amount received within 5 banking days or, with the Client's agreement, reschedule the shoot to another date.
  • An outdoor shoot may be rescheduled because of the weather by mutual agreement; this is not a breach by either Party.

8. Rights to the photographs

Copyright in all photographs taken belongs to the Photographer as their author. The author's moral rights are not transferred to anyone under any circumstances.

The Client receives the right to use the delivered, processed photographs for their own purposes, including promoting their business: to publish them on social networks, on their own website, in a menu, in printed materials and in advertising. This right is perpetual and not limited by territory.

The Client may not:

  • resell the photographs or transfer them to third parties as a stand-alone product, including to stock-photo libraries;
  • substantially alter the photographs — apply third-party filters, crop them so the intent is distorted, add or remove objects — without the Photographer's agreement;
  • pass the photographs off as another author's work.

The Photographer may place the photographs in their portfolio, on the site, on social networks and in professional competitions, with or without naming the Client. The Client may forbid this: it is enough to say so in writing before the shoot or within 5 days of receiving the photographs, and the images will not be published. No charge is made for such a request.

If people appear in the photographs, their image is shared only with their consent. The Client warrants that they have obtained such consent from everyone depicted, and, where children are in the images, from their parents or other legal guardians.

9. Obligations of the Parties

The Photographer undertakes to: carry out the shoot at the agreed date and time, complete the processing and deliver the result within the period in section 5, and keep the information received about the Client confidential.

The Client undertakes to: pay for the services on time, attend the shoot at the agreed time, provide access to the location if it is their choice, and give all the information needed about the brief. The Client's lateness shortens the shoot and is not grounds for recalculating the price.

10. Liability

The Parties are liable for non-performance of their obligations under the applicable law. The Photographer's liability is limited to the amount actually paid by the Client for the shoot in question. The Photographer is not liable for consequences caused by inaccurate or incomplete information provided by the Client, nor for how the Client uses the delivered photographs.

11. Personal data

By accepting this offer, the Client consents to the processing of their personal data as described in the Privacy Policy.

12. Force majeure

The Parties are released from liability for non-performance caused by circumstances beyond their reasonable control: natural disasters, fire, war or military action, states of emergency, power outages, epidemics and quarantine restrictions, or decisions of public authorities. In such a case the shoot is rescheduled to the nearest date agreed by the Parties; if rescheduling is not possible, any amount received is returned to the Client in full.

13. Term and changes

The offer is valid from the moment it is published on this site until the day the Photographer withdraws it or replaces it with a new version. The Photographer may change the terms; a new version takes effect from the day of publication and does not apply to bookings agreed earlier. The Parties first try to resolve any dispute by negotiation, and, failing that, before the competent court at the Photographer's place of business.
